General contract conditions

PREPAID group (subscribers) is intended for clients who want to use the IPVOX service mainly for home or small company use. It's possible to register only one telephone number in this group.

Article 1
Introductory Provisions

1)  Information and security agency s.r.o. (hereafter referred to as the Provider) issue these General Conditions that assess conditions for providing of publicly available telephone services provided via INTERNET and of voice services for closed user groups.

2)  General Conditions regulate the procedure between the Provider and the Subscriber, conditions at provision of services, complaints handling, Provider’s fundamental rights and duties, Subscriber’s rights and duties and terms of payment. They assess the Subscriber technical, operating and organizational conditions required for provision of services.

3)  All physical and/or legal entities complying with the General Conditions are entitled to use the services within the range and manner according to technical and operating possibilities of the Provider.

4)  Prices for establishment of subscribers’ lines and establishment of access to the service including services are specified in the price list of telecommunication services issued by the Provider.

5)  Provision of the General Conditions is valid for the area of the Czech Republic.

Article 2
Basic Concepts

For purposes of General Conditions are understood:

1)  The Czech Telecommunication Office (hereafter the Office or the ČTU) – administrative authority, established via Act for performance of state administration including regulation within the are of electronic communications and postal services

2)  Network end point – physical point where the Subscriber is provided with access to private and public communication network, the source of service.

3)  Objection – motion to start a protest to settle a claim introduced by the Subscriber at the Office.

4)  Instrument of payment – document for services provided and other related activities charged by the Provider to Subscribers. Instrument of payment is in printed or electronic form, according to the user. Instrument of payment is a valid tax document by course of Act No.588/1992 Coll., on value added tax (VAT), as subsequently amended.

5)  Provider – Information and security agency s.r.o., is the provider §2 Letter e) Act No.127/2005 Coll., on Electronic Communications as amended.

6)  Claim – from users’ quarter, application of laws arising from Provider’s responsibility for defects occurred when providing services and other telecommunication activities. It may aim against the range, quality and/or price of provided service.

7)  Telecommunication network – serves for provision of telecommunication services. It is comprised of functionally interconnected set of electronic communication devices or a set of radio devices serving for transfer of information among end points of this network or mutual combination.

8)  Technical specification of the service – definition of required service in technical and organizational respects. It is valid in case that it is respected by the Provider.

9)  Terminal equipment – is connected to the end point of the network on User’s side. It serves for use of Provider’s services. Terminal equipment, in accordance with the General Conditions, is not an electronic communication device serving for use of electronic communication services of other providers.

10) Electronic communication equipment – conduction for transmission, transfer, routing, connecting and signalling via electromagnetic waves.

11) Connection – connects Subscriber’s end equipment to Provider’s network. It is a local wired, optic or wireless conduction. It must be verified and secured in advance.

12) Subscriber – service user.

13) User – physical or legal entity that is provided with publicly available service of electronic communications or that applies for its provision.

14) Applicant – user applying for establishment or change of service via a form.

Article 3
Characteristic of Services Provided

1)  The Provider provides the Users following services:
a)  Publicly available telephone service provided via INTERNET network
b)  Voice services provided to closed user groups
c)  Combination of services specified above.

2)  Services within telecommunication services:
a)  establishment, change and cancellation of connection
b)  maintenance and service
c)  delivery and technical service of terminal equipment
d)  non-stop supervision of telecommunication network and administration
e)  repairs of technical and service failures
        Provided services are specified in the technical specification.
      Provision of technical and software means for voice transmission and access to Internet network is not part of the service.

3)  The services are provided continuously, except for period of technical and software means maintenance due to which the services are ensured. Service continuity may limit the legal regulations ordinance or liability within the meaning of § 374 Commercial Code.

4)  The services are provided in the Czech Republic.

Article 4
Origin and Change of Service

1)  The services are provided on the basis of registration or contract between the Provider and the Subscriber. The Provider and the Subscriber are obliged to adhere these General Conditions as well as other documents of Paragraph 4 Article 4 through registration or contract.

2)  The Subscriber is obliged to provide true data when registering or contract.

3)  Registered User is entitled to make entry for change in user’s registration according to his/her access rights.

Article 5
Prepaid Payment

1)  The provider may require payment in advance (group Prepaid), especially in following cases:
a)  it is not possible to verify applicant’s identity, during telephone conversation or via internet.
b)  Subscriber’s residence or address is out of the area of the Czech Republic.
c)  at suspension of bankruptcy proceedings due to lack of Subscriber’s property, at Subscriber’s settlement or liquidation.
d)  Subscriber has a debt or other liability towards the Provider 
e)  Subscriber registers himself/herself via internet on www.ipvox.cz

3)  Obligation to furnish bail terminates in case that the bail is furnished according to Paragraph 1) Letter (c) or (e) or in case that the successor pays the Provider amount outstanding.

4)  The Provider returns the bail in case that the obligation to provide the bail terminates.

5)  The Provider is entitled to use the bail for charging against debts towards the User.

Article 6
Service Duration

1)  The business relation is concluded on the basis of registration or contract for an indefinite period of time, if not agreed otherwise.

2)  The registration terminates in case that the User has a zero state on his/her telephone account for the period of 6 months.

3)  The provider is entitled to void the contract or to cancel Subscriber’s registration in case that the Subscriber does not remove causes of service provision cancellation even within an additional respite granted.

4)  The contract does not come into existence in case of false identification of a User (agreements concluded orally or via registration on internet).

Article 7
Access to Services

The Subscriber may start using the services according to registration via internet or a contract concluded. Also after fulfilment of following conditions:
a)  Both technical and operational tests of Subscriber’s and Provider’s systems were successfully finished.
b)  Registration of subscriber number in Provider’s system passed successfully.

Article 8
Establishment and Change of Service

1)  The Provider establishes and makes changes of services according to data specified by the Applicant.

Article 9
Cancellation of Services

Subscriber with an indefinite-term contract may ask for cancellation of one or more subscriber number in written form, minimally 3 weeks before required date. The term runs from the date of delivery of the written application to the Provider. The Provider shall cancel required subscriber numbers to the date required by the Subscriber. In case that the Subscriber does not specify the date of cancellation, the Provider shall cancel his/her subscriber number 3 weeks after delivery of his/her application. The contract determines with prospective cancellation of all subscriber numbers after prospective return of Provider’s equipment, if not stipulated otherwise. The Subscriber is obliged to cover agreed payments until cancelation of the subscriber numbers.

Article 10
Prices and Terms of Payment

1)  The price for services is specified in the price list of services; it is available at all Provider’s business premises and on www.ipvox.cz

2)  The Provider charges prices for services in following manner:
a)  nonrecurring installation prices are charged in the accounting period immediately after establishment of services
b)  a calendar month is the accounting period for services provided 
c)  regular instalments (flat prices) are charged retrospectively for previous month, for incomplete months these prices are charged in aliquot part (for each day)
d)  prices for services according to real use of these services are charged with prices according to letter c) retrospectively for previous month or longer period of time 
e)  advance payments are charged in stipulated amount. Advance payments are accounted after termination of accounting period when the Provider issues the Subscriber a tax document.
f)  Prepaid services are charged according to amount of calling credit.
g)  The Subscriber is obliged to pay the price for services according to account statement and within periods specified in the instruments of payment issued by the Provider. It is provided free of charge in electronic or printed form, according to User’s option. For prepaid services, the Provider issues to the User a tax document in the amount of calling credit.

3)  The amount charged is paid at the moment of crediting relevant amount to Provider’s account. The settlement must be made to the due date of charged amount at the latest or the Provider is entitled to demand to pay a moratory interest amounting 0,05% of the outstanding item for each day of delay.

4)  In case that the Subscriber does not keep the maturity date, the Provider shall provably draw his/her attention to the liability to pay and shall set an alternative date, not shorter than 1 week after the notification date. The Provider may block Subscriber’s active access to the service after expiration of the alternative date.

5)  In case that provision of services is interrupted continuously for more than 8 hours due to failure of telecommunication network operated by the Provider, hence the Subscriber is not responsible for interruption effect, he/she is entitled to returning of aliquot part of the price for services. The period for calculation of aliquot part of the price for services that is to be returned is calculated from the moment when the Subscriber reports the failure to the Provider. To calculate aliquot part it is stated that a month has 30 days, i.e. 720 hours. Compensation for a month = hours of interruption * price of service / 720.

6)  Claim is applied within 2 months from the accounting date or the right expires. For prepaid services, the Subscriber is entitled to claim within 2 months from the date of service provision. Lodging a claim has no dilatory effect. The Provider settles the claim within 1 month from the date of claim delivery. Amount of admitted claim shall be credited to the User in proximate accounting period if the Subscriber does not pay it to Provider’s account meanwhile.

Article 11
Provider’s Rights and Duties

1)  The Provider establishes and provides services on conditions and within the range specified in these General Conditions, the Contract and legal regulations ordinance.

2)  In case that it is not possible to use services or their part due to a failure of technical or software manner on Provider’s quarter, the Provider is obliged to ensure troubleshooting without unreasonable delay.

3)  The Provider may temporarily interrupt or limit provision of services in case of necessary modifications of technical equipment, measuring or troubleshooting.

4)  Prospective limitation, interruption, changes or other irregularities in service provision that are to be known to the Provider in advance shall be reported on the website www.ipvox.cz in section “News”.

5)  In case that the Subscriber breaches his/her duties in a significant manner and does not rectify the situation even within a period granted after a written notification, the Provider is entitled to interrupt provision of services.

6)  In case that the Subscriber removes causes of service provision interruption, the Provider shall restore their provision.

7)  The Provider provides relentless supervision of services provided for 24/7, all calendar year round.

8)  The Provider is not responsible for breakdowns, failures or non-functionality of service in case that the breakdown occurred due to incompetent or unauthorized handling of the Subscriber or other persons. In this case the Provider is not responsible for the quality of internet connection from the internet provider.

9)  In case that the Subscriber spreads data in contradiction with the Contract, General Conditions, legal regulations ordinance and legitimate moral and ethical norms, the Provider is entitled to stop data dissemination.

10) The Provider is entitled to check connected end terminal equipment in terms of equipment type and connection method.

11) The Provider undertakes to remove defects on Provider’s network that are reported by the Subscriber as soon as possible.

12) In case that the breakdown or defect is found during troubleshooting not to be in Provider’s network but it is localized on Subscriber’s devices, the Provider is entitled to settlement of costs incurred according to price list of service works.

13) The Provider is not liable for data content when using the IPVOX service.

14) The Provider secures information privacy as well as relating operational and localization data that are transmitted via their network and services.

Article 12
User’s Rights and Duties

1)  The Subscriber is entitled to establishment and quiet enjoyment of the services.

2)  The Subscriber is obliged to follow these General Conditions and legal regulations ordinance.

3)  The Subscriber is obliged to pay for services provided properly and duly and to pay for prospective payment attribution applied by the Provider.

4)  The subscriber is allowed to use only those devices that do not interfere with operation of electronic communication network and that are not contrary to a law and constitutional laws of third parties.

5)  The Subscriber may not interfere with technological equipment of electronic communication network within Provider’s property, including the end point of the network and to interfere with these devices in any way or to move them.

6)  During the term of the contractual relation or registration, The Subscriber reports the Provider changes of all identification and other data in written form following from the contractual relation, 7 working days from the origin of the change at latest. These are changes of first name, surname, business organization, permanent address, User’s legal form seat, bank connection and contact e-mail address. Failure to notify such changes is a gross violation of the Contract or registration

Article 13
Breakdown Reporting

1)  The Subscriber reports service breakdowns via telephone, fax or e-mail to Provider’s nerve centre that accepts reporting of breakdowns 24/7, all year round.

2)  The Subscriber gives his/her name and company, telephone number (fax, e-mail), Ip telephone number, breakdown description.

3)  The Provider may demand written or electronic confirmation of reported breakdown from the Subscriber.

4)  The parties agree on the date of troubleshooting.

Article 14
Data Protection

1)  The Provider and the Subscriber are bound by secrecy of all information about the other party that follow from the contractual relation concluded or that they got to know in relation to fulfilment of this Contract and they shall not transmit or make this information available to the third party without a written approval of the other contractual party. The secrecy pledge continues after termination of the Contract or registration as well.

2)  The secrecy pledge does not apply to:
a)  completion of the contract information
b)  publicly available information
c)  information required by courts, authorities, bodies responsible for penal proceedings, auditors for compulsory purposes or independent persons of contracting parties.

3)  The Provider and the Subscriber undertake to use all information about the other contracting party in accordance with legal regulations ordinance (Personal Data Protection Act, Electronic Communication Act), these General Conditions or contracting parties agreement. This obligation maintains after termination of the contractual relation as well.

Article 15
Delivery

1)  A document between the Provider and the Subscriber is considered delivered when
a)  handed and taken over by the other contractual party personally 
b)  delivered by a subject providing postal services 
c)  delivered in another manner agreed with the Subscriber

2)  In case of documents delivered via a subject providing postal services, the document is considered delivered if delivery to the address last reported is proved. A delivery is considered delivered if its acceptance is refused or that was not collected within relevant period.

Article 16
Concluding Provisions

1)  These General Conditions come into force and effect on January 1, 2007

2)  Legal relations providing the services obey the Contract, these General Conditions, Electronic Communication Act and the Civil and the Commercial Code.
